Articles of Association

Definition of the Entity
1.1           
SDWG’s organizational structure is intended to meet the requirements of an IRS-recognized 501(c)(7) tax exempt Social and Recreation Club. SDWG has been organized for pleasure, recreation and charitable acts, and all of its activities are for these purposes. Donations to the club are not tax deductible on the donor’s income tax return.

SDWG does not discriminate against any person on any basis including race, color or religion.

No part of SDWG’s net earnings may benefit any person having a personal or private interest in the activities of the club.

Purposes of the Entity
2.1           
The members of SDWG are bound together by a common objective of pleasure, recreation and other nonprofitable purposes. Evidence of this is our monthly meetings at various member’s workshops, our quarterly social events, and our educational and philanthropic activities for which we are unpaid and all labor is donated.

2.2           
Limited membership: membership is offered to people who are woodworkers or are interested in becoming woodworkers. SDWG is not a corporate entity or subject to any corporate ownership or influence.

2.3           
Membership classes: SDWG only offers one level of membership, and assesses the same annual membership fee on all memberships.

2.4           
SDWG is supported solely by membership fees, dues and/or assessments. The club may on occasion sponsor a fundraising activity for a special charitable purpose such as purchasing materials for flag cases that will be donated free of charge to the local Honor Guard. Proceeds from fundraising will be spent only on those charitable activities.

Business Activities
3.1           
SDWG does not and will not engage in business activities such as selling real estate, products or services.

3.2           
SDWG may on occasion provide meals, refreshments or services to its own members and/or their dependents and guests.

3.3           
While SDWG’s facilities or property may be used by members to interact with the public, they are not and will not be available for rent or hire to nonmembers.

3.4           
SDWG may receive up to 35% of its gross receipts, including investment income, from sources outside its membership without losing its tax-exempt status. Of the 35%, up to 15% may be derived from the use of club facilities or services by the general public. Gross receipts may include charges, admissions, membership fees, dues, assessments, investment income, and normal recurring capital gains on investments.

Receipts do not include initiation fees (which SDWG does not have), or capital contributions. Unusual amounts of income, such as the sale of a clubhouse or similar facility, will not be included in gross receipts under the terms of the club’s existence as a 501(c)(7) tax exempt entity.

3.6           
SDWG is not a fraternity or sorority, or a foundation organized to acquire or lease a chapter house for a fraternity or sorority.

3.7           
SDWG elects its officers for the following year by acclaim at the annual Christmas dinner. Offices are president, vice president, treasurer and secretary. The elected term is one year for all offices.

3.8           
A treasurer’s report for each year is due on or before April 15th of the following year. A copy of said report must be presented to the current president on or before that date. All data is fully available to any and all members. The treasurer will provide said unlimited access upon request within thirty days of receiving said request.

3.9           
Items of concern or business may be addressed to the president or secretary at any time, or raised at a monthly meeting. Times of upcoming meeting can be found on the SDWG Web site at www.sdwoodworker.org

Common Identity
4.1           
SDWG is the tax identity for South Dakota Woodworkers’ Guild, which has applied for and received an Employer Identification Number from the Internal Revenue Service.

4.2           
SDWG also operates as the Northern Hills Chapter of SDWG, and the club meets in several locations in Lawrence, Butte, Meade and Pennington counties in western South Dakota.
